1. Agreement to Terms

Welcome to Fudava. These Terms and Conditions ("Terms") govern your access to and use of the Fudava application, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

Fudava is operated by Fudava, a company incorporated in United States of America.

2. Eligibility

There is no minimum age requirement to use this Service. However, if you are under 13 (or under 16 in the EU), we recommend obtaining parental consent.

By using the Service, you represent and warrant that:

You have the legal capacity to enter into these Terms
You will comply with these Terms and all applicable laws
All information you provide is accurate and truthful
You will maintain the security of your account credentials

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security and confidentiality of your password
Notify us immediately of any unauthorized access

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscription and Billing

4.1 Free Trial

We offer a 7-day free trial for each subscription plan. You will not be charged during the trial period. You can cancel anytime during the trial without being charged.

Important: If you do not cancel before the trial ends, your payment method will automatically be charged for the subscription.

4.2 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.

All fees are in US Dollars (USD)
Fees are non-refundable except as required by law
You authorize us to charge your payment method automatically
Subscriptions automatically renew unless cancelled

4.3 Payment Processing

All payments are processed securely through Stripe. We do not store your full credit card details. By providing payment information, you authorize Stripe to charge your payment method.

4.4 Cancellation

Cancel anytime. You can cancel your subscription at any time through your account settings. Upon cancellation:

You will retain access to premium features until the end of your current billing period
No further charges will be made to your payment method
Your account will revert to the free plan
Limited to free features only

4.5 Refund Policy

No Refunds: No refunds. All subscription fees are non-refundable. This includes partial refunds for unused portions of a subscription period.

Exception: Refunds may be provided at our sole discretion in cases of billing errors or as required by applicable law.

5. Service Description

Fudava provides:

AI-powered personalized meal planning
Nutrition tracking and fuel score calculations
Recipe management and grocery list generation
Daily meal logging and health metrics tracking
Progress tracking and analytics
Premium features available through subscription plans

6. Intellectual Property Rights

6.1 Our Content

All meal plans, recipes, and AI-generated content are owned by Fudava. This includes but is not limited to:

All meal plans and recipes generated by our AI algorithms
Software, code, algorithms, and technology
Website and application design, layout, and graphics
Text, images, logos, and other content
Trademarks: Fudava, Fudava logo

6.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

6.3 Your Content

Users grant Fudava a license to use their data to provide services. By using the Service, you grant us a worldwide, royalty-free license to use, store, and process your data solely to provide and improve our services.

You retain ownership of any personal recipes or content you upload, but you grant us permission to use this data to generate personalized meal plans and recommendations.

7. Prohibited Uses

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate or infringe upon the rights of others
Attempt to gain unauthorized access to the Service or related systems
Interfere with or disrupt the Service or servers
Use automated systems (bots, scrapers) to access the Service
Reverse engineer, decompile, or disassemble any part of the Service
Remove or modify any copyright or proprietary notices
Share your account credentials with others
Use the Service to transmit harmful code (viruses, malware)
Resell, rent, lease, or commercialize the Service
Create a competing service using our content or technology

8. Termination

8.1 By You

You may terminate your account at any time by deleting it through your account settings. Upon deletion, your personal data will be permanently removed as described in our Privacy Policy.

8.2 By Us

We may suspend or terminate your access to the Service immediately, without prior notice, for:

Violation of these Terms
Fraudulent activity or payment issues
Behavior that harms or could harm other users
Any reason at our sole discretion

Termination does not entitle you to any refund of subscription fees.

9. Disclaimers and Limitations

Fudava is NOT a medical service and does NOT provide medical advice, diagnosis, or treatment. Our meal plans and nutrition information are for general wellness purposes only. Always consult with a qualified healthcare provider before making any changes to your diet, especially if you have:

Any medical conditions or chronic diseases
Dietary restrictions due to allergies or medical reasons
Are pregnant or nursing
Are taking medications that may interact with diet changes
Are under 18 years old

In case of a medical emergency, call your local emergency services immediately.

9.2 Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Warranties of accuracy, reliability, or completeness
Warranties that the Service will be uninterrupted or error-free
Warranties that defects will be corrected

9.3 AI-Generated Content

Our meal plans and recommendations are generated using artificial intelligence. While we strive for accuracy, AI-generated content may contain errors or may not be suitable for your specific needs. You are responsible for:

Verifying the accuracy of nutritional information
Ensuring meal plans meet your dietary requirements
Checking for potential allergens or ingredients you should avoid
Using common sense and consulting professionals when needed

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUDAVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or use
Health issues or medical complications arising from use of meal plans
Any damages resulting from unauthorized access to your account
Any damages resulting from service interruptions or errors

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS LESS.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Fudava, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any rights of another party
Any content you submit or transmit through the Service

12. Dispute Resolution

12.1 Informal Resolution

Before filing a formal claim, please contact us at info@fudava.com to attempt to resolve the dispute informally. We will work with you in good faith to reach a resolution.

12.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Arizona, USA, without regard to its conflict of law provisions.

12.3 Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Arizona, USA, and you consent to personal jurisdiction in such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms with a new "Last Updated" date
Sending an email notification (if you have an account)
Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

14. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and Fudava.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver.

Assignment: You may not assign these Terms without our consent. We may assign them freely.

Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.

Survival: Provisions that should survive termination (e.g., liability limitations) remain in effect.
